How can I remove a deceased shareholder and officeholder? Who should sign on behalf of the deceased?
Answer
The 484C3 Transfer of Shares form can be used to remove a shareholder whether they are deceased or not. Once the form is lodged the shareholder will be ceased. This form can be found by navigating to Menu > Corporate Messenger > Companies > click 'See Full Profile' > click Share Management.
The Form 484E Extended form can also be used to remove a Shareholder when they are deceased.
This form can be found by navigating to Menu > Corporate Messenger > Companies > click 'See Full Profile' > click Share Management.
Within this form, you will have the option to select the Legal Personal Representative via the "Transferor Details (seller) tab", when you select "deceased" for the reason.
The 484B1 Cessation of an Officer form, can also be used to remove a deceased officeholder. You would need to select another officeholder to sign to authorise the change. Otherwise you can use the Online Editor to update the minutes/resolution to reflect the authorised person to sign on behalf of the deceased. This form can be found by navigating to Menu > Corporate Messenger > Companies > click 'See Full Profile' > Detail Changes.
Note: A legal representative would sign on behalf of the deceased, such as the executor.
