How to cease and appoint Director’s for a Sole Director Company

How can I cease a Director and appoint a new Director for a Company governed by a Sole Director?

Answer

A Sole Director Company requires a new Director’s appointment to be lodged and finalised prior to the previous Director’s cessation. As a result, a Form 484B12 Appointment and Resignation of Officeholders or an Extended Form cannot be completed and lodged for a Sole Director Company.

Follow these steps to complete an appointment and cessation of Officeholders for a Sole Director Company:

1. Navigate to Menu > Corporate Messenger > Companies and select the Company in question to view the Company Profile or search the Company from the Create Documents page.
2. In the Company Profile, complete the Form 484B2 Appointment of Officeholders form under the Details Changes tab.
   
   
    
3. Complete and lodge this Form 484B2.
4. Once the Form 484B2 has been successfully lodged and the details of the appointed Officeholder is present in the Officers tab of the Company Profile, complete and lodge the Form 484B1 Cessation of Officeholders form under the Details Changes tab.
