Form 6010 (Company Deregistration)

There are 2 types of company deregistration: 

  1. Voluntary Deregistration - this can be done by lodging the Form 6010 (either electronically or via paper). Click here for more information and applicable fees. 

 Before ASIC can accept the application, ensure:

  • all members of the company agree to deregister
  • the company is not conducting business
  • the company's assets are worth less than $1000
  • the company has no outstanding liabilities (e.g. unpaid employee entitlements)
  • the company is not involved in any legal proceedings and
  • the company has paid all fees and penalties payable to ASIC

     2. ASIC Initiated Deregistration - ASIC may deregister a company due to the following reasons:       

  • The annual review fee has not been paid within 12 months of the due date 
  • The company has not responded to a Company Compliance notice or
  • The company has not lodged any documents in 18 months and ASIC believe that the company is no longer in business

Note: Outstanding fees and penalties need to be settled before lodging the Form 6010. Failure to do so will result in the lodgement to be rejected by ASIC.

For any credit balances remaining during deregistration ASIC should be contacted to have this balance refunded.

Application for voluntary company deregistration should be lodged at least 2 weeks before the annual review fee is due to avoid paying the fee. If the application was received less than 2 weeks from the due date of the annual review fee, company is liable to pay the annual review fee.

Note: If the company does not currently have any Officeholders, the form 6010 will need to be lodged via ASIC directly.

To create a Form 6010 for Voluntary Deregistration in the NowInfinity platform:

Step 1:  Navigate to Menu > Companies:

Step 2: Search for and then open the full Company Profile by clicking the "View" icon:

Step 3:  Select Change of Status in the "ALL FORMS" section and select Form 6010 (Deregistration):

Step 4: You will be routed to the form to complete:

Notes:

  • For the payment method, only select “Pay using a Direct Debit account with ASIC" if you have a direct debit set up with ASIC. If not, select “Invoice issued for payment”
  • The invoice will be issued after lodgement and available from Menu > Corporate Messenger > Companies > Company Profile > Recent Documents > Invoice Statement once issued.
  • "Yes" must be applicable to all fields in the "Voluntary deregistration declarations" page to be able to proceed
  • If you wish to generate a temporary payslip to provide to your client before ASIC issue the invoice, select “Include a Payslip” on the last page.

Step 5: Once finished, select "Complete" on the last page to generate documentation.

Step 6:  After completing the interview, you will be routed to the Collaboration Page where you will be able to download the ASIC form, minutes/resolution and send the documents for electronic signing and finalise lodgement
