Answering 'Yes' to 'Will the Company have an Ultimate Holding Company upon registration?'

This question is asked within the Company registration interview form while completing the Form 201 and is required to be notified to ASIC. It is also reflected in the minutes generated.

An ultimate holding Company (UHC) is a Company that has ultimate control over another Company. A UHC can have one or more subsidiary Companies but cannot itself be a subsidiary of another Company. The word 'ultimate' in this context means that it is the highest in the hierarchical structure of Companies. 

Usually, a UHC does not have any involvement in the day-to-day operations of its subsidiaries but it does have significant influence on larger business decisions.
